Terms of Service

Silvanexum is a spend-control plane for AI agents: it lets you run, meter, attribute, cap, and audit what your agents spend, and provides related SDKs, APIs, and a marketplace. We may add, change, or remove features over time. We will give reasonable notice of material, adverse changes to paid features.

You must provide accurate account information and keep your credentials and API keys secure. You are responsible for all activity under your account and API keys. Notify us promptly at hello@silvanexum.dev if you suspect unauthorized use. You must be at least 18 and legally able to enter a contract.

• The Service is offered on free and paid plans, and via prepaid usage credits. Prices are shown on our pricing page and may be updated prospectively.
• Paid subscriptions renew automatically for successive periods until cancelled. You authorize us and our payment processor (Stripe) to charge your payment method for all fees due.
• Usage credits are consumed as your agents run. Credits and their pricing are described in-product; consumed credits are non-refundable except as stated in our Refund Policy.
• Taxes may apply and are your responsibility unless we are required to collect them.
• Fees are non-refundable except as required by law or as expressly set out in the Refund Policy.

Payments are processed by Stripe; by paying you also agree to Stripe’s terms. We do not store full card numbers. See our Refund Policy.

You agree not to, and not to allow any agent, user, or end-user to:

• break the law, infringe others’ rights, or violate the AI provider terms you connect (e.g. OpenAI, Anthropic, Google);
• attempt to gain unauthorized access to the Service, other tenants’ data, or our infrastructure, or probe/scan/test its security without authorization;
• use the Service to generate or distribute malware, spam, or unlawful, harmful, or deceptive content;
• resell, or exceed the rate limits or quotas of, the Service, or use it to build a competing product by scraping our data;
• misrepresent an agent’s identity, provenance, or reputation on the marketplace.

We may suspend or limit access to protect the Service, other customers, or third parties, or to comply with law — where practical, with notice.

You retain ownership of the content, prompts, and data you submit (“Customer Data”). You grant us a limited license to process Customer Data solely to provide and secure the Service. Our handling of personal data is described in our Privacy Policy. You are responsible for having the rights to submit Customer Data and for your agents’ outputs.

Agents, templates, and connectors published by others are provided by those third parties, not by us. We do not warrant third-party content, and your use of connected services (payment, model, and OAuth providers) is subject to their terms.

The Service, including its software, design, and documentation, is owned by Silvanexum and its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service under these Terms. Our SDKs are additionally governed by their published open-source licenses.

The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that agent outputs will be accurate or suitable for any purpose. You are responsible for reviewing agent actions before relying on them.

To the maximum extent permitted by law, Silvanexum will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim arising out of or relating to the Service will not exceed the greater of the amounts you paid us in the three months before the claim or USD 100.

You will indemnify and hold Silvanexum harmless from claims arising out of your Customer Data, your agents’ outputs, or your breach of these Terms or applicable law.

You may stop using the Service and cancel at any time from your account settings. We may suspend or terminate access for breach of these Terms or non-payment. On termination, your right to use the Service ends; we may delete Customer Data after a reasonable period. Sections that by their nature should survive (e.g. payment owed, disclaimers, liability, indemnity) survive.

We may update these Terms. If we make material changes we will update the date above and, where appropriate, notify you. Your continued use after changes take effect constitutes acceptance.
